These Terms and Conditions (the “Agreement”) govern your participation in the Billroo Affiliate Program (the “Program”), operated by Billroo Operations Pty Ltd (ABN 34 676 806 429) (“Billroo”, “we”, “us”, or “our”). By applying for or participating in the Program through PromoteKit, you (“Affiliate”, “you”, or “your”) acknowledge that you have read, understood and agree to be bound by this Agreement.

1. PPC advertising & search‑engine marketing

Affiliates must not run Google Ads or any other paid search‑engine campaigns targeting Billroo‑related keywords. This includes bidding on our brand name, misspellings or close variants. Any breach will result in immediate termination of your account and forfeiture of all commissions (earned and pending) since account creation.

2. Coupon‑code, deal & discount sites

Promoting Billroo via coupon websites, deal or promo‑code platforms, or discount‑sharing forums is prohibited. Breaches trigger account termination and commission forfeiture.

3. Permitted promotion channels

You may promote Billroo via:

• Personal blogs or websites

• Organic social‑media posts (no paid ads)

• Email newsletters (compliant with all anti‑spam legislation)

• Podcasts, videos or printed materials

All content must be accurate, professional, and must not mislead users or misrepresent Billroo’s service. You are responsible for your own creatives.

4. Referral tracking & commission structure

• Tracking is powered by PromoteKit using your unique affiliate link. Only sales attributed by PromoteKit qualify for commission.

• Commission rate: 20 % of the Net Sale Amount (amount received by Billroo, excluding GST, refunds and charge‑backs).

• Commission period: You earn commission on a referred customer’s purchases from the date of their first completed purchase.

• No dollar cap: There is no maximum dollar limit on commissions you may earn from a customer.

• Orders that are refunded, cancelled or identified as fraudulent will have their commissions reversed; previously‑paid sums will be deducted from future payouts.

5. Commission payments

• Commissions are calculated at the end of each calendar month and paid Net‑15 – for example, commissions earned in December are paid on 15 January – via Wise in AUD.

• A minimum payout threshold of AUD $1 applies; unpaid balances roll over to the next month.

• You are responsible for maintaining accurate Wise details.

6. Taxes

You are solely responsible for any taxes (including GST) arising from commission payments. We may require an ABN or other tax information prior to releasing payments.

7. Termination, changes & suspension

Billroo may, at its discretion:

• Terminate or suspend your participation at any time, with or without cause.

• Modify or discontinue the Program.

• Change commission rates, structures or policies upon notice (email or dashboard notification suffices).

If you breach this Agreement or misuse the Billroo brand, we may terminate your account immediately and all earned or pending commissions will be forfeited.

8. Limitation of liability

Billroo is not liable for:

• Lost earnings due to tracking failures, system outages or third‑party issues;

• Indirect, incidental or consequential damages;

• Your own errors, negligence or policy violations.
  Participation is at your own risk.

9. Governing law & jurisdiction

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales.

By continuing to participate in the Program after any change takes effect, you are deemed to have accepted the amended terms. If you do not agree, your sole remedy is to cancel your affiliate account.
